本用户协议（以下简称“协议”）由您（“用户”或“您”）与本工具的平台提供方（“平台”或“我们”）共同缔结，适用于您使用“串口调试AI助手”网页工具（以下简称“本工具”）的全部行为。本工具是一款完全免费的、基于网页的串口通信调试辅助工具，集成了人工智能（AI）自然语言处理功能。您使用本工具即视为您已充分阅读、理解并同意受本协议全部条款的约束。
1. 服务说明
- 1.1 本工具允许用户通过网页浏览器与本地串口设备进行交互，并可选择性地使用AI功能，将用户输入的文本指令、串口收发数据等内容发送至AI模型，以获取调试配置建议、指令生成或其他功能。
- 1.2 AI功能的实现依赖第三方AI服务提供商的应用程序接口（API）。用户可选择以下两种方式使用AI功能：
- （a）使用平台提供的API：数据将由您的浏览器发送至平台服务器，经最小必要转发后传递至底层AI服务商。平台仅进行技术性转发，不以任何形式存储或分析您的串口数据内容，但无法完全排除传输过程中被截取的风险。
- （b）自行填入API密钥：您可使用自己持有的第三方AI服务账户及API密钥。在此模式下，相关数据将直接从您的浏览器发送至您指定的AI服务提供商，全程不经过平台服务器。您应自行遵守该API提供商的全部条款，并承担API密钥的保管义务。
- 1.3 本工具完全免费。平台保留随时变更、中断或终止全部或部分功能的权利，无需事先通知，亦不承担任何赔偿责任。
2. 用户声明与保证
使用本工具，您声明并保证：
- 2.1 您具备您所在司法管辖区的法定民事行为能力（通常为年满18周岁，或在监护人同意并指导下使用）。
- 2.2 您对通过本工具连接的串口设备拥有合法的控制权或已获得充分授权。
- 2.3 您不会利用本工具传输任何违反适用法律法规、侵犯他人合法权益、危害设备安全或公共安全的内容或指令。
- 2.4 您知晓并同意：您的串口通信数据（包括可能含有的敏感工业信息、个人数据等）将被传输至本地计算机之外的互联网环境。 您将自行负责评估和遵守所有适用的数据保护、隐私及出口管制法律，并对数据传输的唯一合法性负责。
3. 风险告知与安全责任
您明确知晓并自愿承担以下全部风险：
- 3.1 信息泄露风险：使用本工具进行AI辅助时，您的串口原始数据、设备响应内容及自然语言指令将被发送至互联网（无论是经平台转发还是直接发送至您指定的第三方API）。这些数据可能被第三方服务商依据其自身隐私政策处理、记录，或在传输过程中因不可抗力、网络攻击等发生泄露。
- 3.2 设备与人身安全风险：AI生成的配置参数或指令可能存在错误、不完备或不适用于当前硬件的情况，直接执行此类指令可能导致设备故障、永久性损坏、数据丢失、生产中断，甚至引发火灾、爆炸或人身伤亡等严重后果。您有绝对义务在安全隔离的环境中对任何AI输出进行人工审核、验证，并采取必要的物理安全措施。
- 3.3 服务可用性风险：本工具依赖第三方API、网络基础设施等不可控因素，不保证服务的及时性、准确性、连续性和可靠性。
- 3.4 自主配置风险：自行填入API密钥时，您的账户若因与服务商产生纠纷或密钥保管不当而被滥用，平台不承担由此引发的任何损失。
您确认，最终决定是否将AI输出应用于实际设备的唯一责任人、操作人和风险承担者是您本人。本工具仅为辅助性软件。
4. 知识产权
- 4.1 本工具的代码、界面、文档等知识产权归平台所有。本协议不向您转让任何知识产权。
- 4.2 您通过本工具输入的内容及串口数据的所有权归属用户，但您授予平台全球范围内、永久、免费、不可撤销的许可，用于执行本协议项下的服务（如转发至API）。对于使用平台API的行为，您还须允许底层AI服务商按其条款处理该数据。
5. 责任免除与限制
在适用法律允许的最大范围内，本工具“按原样”提供，平台不作出任何明示或默示的保证，包括但不限于适销性、特定用途适用性、不侵权及安全性保证。
平台及其关联方、管理人员、员工对以下情形不承担任何责任：
- （a）任何间接、附带、特殊、惩罚性或结果性损害，包括但不限于利润损失、数据丢失、设备损坏、业务中断或人身伤害；
- （b）因您使用或无法使用本工具、AI生成内容、第三方API行为而产生的任何直接或间接损失；
- （c）因您违反本协议、忽略安全警示或违反适用法律而导致的任何责任。
即使平台已被告知此类损害的可能性，且本工具完全免费，上述责任豁免依然有效。若任何司法管辖区不允许完全免除默示保证或责任限制，则平台的责任应限于该法律允许的最低限度。
6. 赔偿
您同意赔偿、辩护并使平台及其关联方免受任何因您使用本工具、违反本协议、侵害他人权利或传输的数据、指令引起的第三方索赔、诉讼、损害赔偿、费用（包括合理的律师费）而产生的损失。
7. 终止
本协议自您接受之日起生效，直至终止。您可以随时通过停止使用本工具来终止本协议。如果您违反本协议任何条款，平台有权在不发出通知的情况下立即终止您对本工具的使用权限。协议终止后，第3、4、5、6、8条仍持续有效。
8. 法律适用与争议解决
本协议受中华人民共和国法律管辖，但不适用其冲突法规范。因本协议产生的或与之相关的任何争议应首先通过友好协商解决；协商不成的，应提交上海国际经济贸易仲裁委员会（SHIAC）按照申请仲裁时该会现行有效的仲裁规则进行仲裁，仲裁地为中国上海，仲裁语言为中文。仲裁裁决是终局的，对双方均有约束力。对于任何用户，您不得作为集体诉讼、集体仲裁等集团行动的一员主张索赔。
9. 其他
- 9.1 平台有权不定期修订本协议，修订版本将在工具网页发布，继续使用即视为同意修订后的条款。重大变更我们可能会通过显著通知告知，但您有义务定期查阅最新协议。
- 9.2 本协议中任何条款被认定为无效或不可执行，不影响其余条款的效力。
- 9.3 本协议构成双方关于本工具使用的完整合意，取代之前所有口头或书面约定。

English Version
This User Agreement ("Agreement") is entered into between you ("User" or "you") and the provider of this Tool ("Platform", "we", or "us"), governing your use of the web-based "Serial Debugging AI Assistant" tool (the "Tool"). This Tool is a completely free, web-based utility intended for serial communication debugging, with integrated AI natural language processing features. By using this Tool, you acknowledge that you have fully read, understood, and agree to be bound by all terms of this Agreement.
1. Service Description
- 1.1 The Tool allows you to interact with local serial devices through a web browser and optionally utilize AI capabilities by sending text instructions, serial data, etc., to an AI model for debugging configuration suggestions, command generation, or other functions.
- 1.2 The AI functionality relies on third-party AI service provider APIs. You may choose between:
- (a) Using Platform-provided API: Data will be sent from your browser to the Platform's server, and after minimal necessary forwarding, relayed to the underlying AI provider. The Platform only performs technical forwarding and does not store or analyze your serial data content, but absolute security of transmission cannot be guaranteed.
- (b) Bring Your Own API Key: You may use your own third-party AI service account and API key. In this mode, relevant data is sent directly from your browser to your designated AI provider without passing through the Platform's servers. You are solely responsible for compliance with that provider's terms and for safeguarding your key.
- 1.3 The Tool is provided completely free of charge. The Platform reserves the right to modify, suspend, or discontinue all or part of the Tool at any time without prior notice and without any liability.
2. User Representations and Warranties
By using the Tool, you represent and warrant that:
- 2.1 You have the legal capacity to enter this Agreement (generally by being of the age of majority in your jurisdiction, or using with guardian consent and supervision).
- 2.2 You have legitimate control or sufficient authorization over the serial devices you connect.
- 2.3 You will not transmit any content or command that violates applicable laws, infringes others' rights, or endangers device safety or public security.
- 2.4 You are fully aware and agree that your serial communication data (which may include sensitive industrial information, personal data, etc.) will be transmitted outside your local computer to the Internet environment. You shall be solely responsible for evaluating and complying with all applicable data protection, privacy and export control laws.
3. Risk Acknowledgment and Safety Responsibility
You expressly acknowledge and voluntarily assume all of the following risks:
- 3.1 Information Leakage Risk: When using AI assistance, your raw serial data, device responses, and natural language prompts are sent over the Internet. Such data may be processed or logged by third-party providers per their privacy policies, or be leaked during transmission due to force majeure or cyber attacks.
- 3.2 Device and Personal Safety Risk: AI-generated configurations or commands may be erroneous, incomplete, or unsuitable for your hardware. Direct application of such output may cause equipment malfunction, permanent damage, data loss, production shutdown, or even severe consequences including fire, explosion, or bodily injury. You have the absolute obligation to review, validate and test all AI output in a safe, isolated environment, and to implement adequate physical safety measures.
- 3.3 Service Availability Risk: The Tool depends on third-party APIs and network infrastructure. No guarantee is made regarding timeliness, accuracy, continuity, or reliability.
- 3.4 Self-Configuration Risk: If you use your own API key, the Platform is not liable for any losses caused by account disputes or key misuse.
You confirm that you are the sole person responsible for the final decision on whether to apply AI output to actual devices, and are the sole operator and risk-bearer. This Tool is merely an auxiliary software.
4. Intellectual Property
- 4.1 The Tool's code, interface, documentation, and related intellectual property belong to the Platform. No rights are transferred herein.
- 4.2 You retain ownership of the content you input and serial data, but grant the Platform a worldwide, perpetual, royalty-free, irrevocable license to use it for performing services under this Agreement (e.g., forwarding to APIs). When using Platform-provided API, you also consent to processing by the underlying AI provider per its terms.
5. Disclaimer of Warranties and Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOOL IS PROVIDED "AS IS" WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR SECURITY.
TO THE FULLEST EXTENT PERMISSIBLE, THE PLATFORM, ITS AFFILIATES, OFFICERS, AND EMPLOYEES SHALL NOT BE LIABLE FOR:
- (a) ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, DATA, EQUIPMENT DAMAGE, BUSINESS INTERRUPTION, OR PERSONAL INJURY;
- (b) ANY DIRECT OR INDIRECT LOSS ARISING FROM YOUR USE OR INABILITY TO USE THE TOOL, AI-GENERATED CONTENT, OR THIRD-PARTY API ACTIVITIES;
- (c) ANY LIABILITY RESULTING FROM YOUR VIOLATION OF THIS AGREEMENT, DISREGARD OF SAFETY WARNINGS, OR VIOLATION OF APPLICABLE LAWS.
THE ABOVE LIMITATIONS APPLY EVEN IF THE PLATFORM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THAT THE TOOL IS PROVIDED FREE OF CHARGE. WHERE ANY JURISDICTION DOES NOT ALLOW THE TOTAL EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY, THE PLATFORM'S LIABILITY SHALL BE LIMITED TO THE MINIMUM PERMITTED BY LAW.
6. Indemnification
You agree to indemnify, defend, and hold harmless the Platform and its affiliates from any third-party claims, lawsuits, damages, expenses (including reasonable attorneys' fees) arising out of your use of the Tool, your breach of this Agreement, your infringement of others' rights, or the data/commands you transmit.
7. Termination
This Agreement is effective upon your acceptance until terminated. You may terminate it by ceasing all use of the Tool. The Platform may terminate your access without notice if you breach any term. Sections 3, 4, 5, 6, and 8 shall survive termination.
8. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the People's Republic of China, without regard to conflict of law principles. Any dispute arising from or in connection with this Agreement shall first be resolved through friendly negotiation. If negotiation fails, the dispute shall be submitted to the Shanghai International Economic and Trade Arbitration Commission (SHIAC) for arbitration in accordance with its then-current rules. The place of arbitration shall be Shanghai, China, and the language shall be English. The arbitral award is final and binding. You expressly waive any right to bring claims as part of a class action or other collective proceeding.
9. Miscellaneous
- 9.1 The Platform may revise this Agreement from time to time. The revised version will be posted on the Tool's web page, and continued use constitutes acceptance of the changes. We may notify you of material changes, but you are obliged to review the current Agreement periodically.
- 9.2 If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- 9.3 This Agreement constitutes the entire understanding regarding your use of the Tool and supersedes all prior agreements.
